These Terms and Conditions (“Terms”) govern the use of our platform, which connects property deal sourcers (“Sourcers”) with investors (“Investors”) for property investment opportunities and facilitates introductions in exchange for an introduction fee (“Fee”). By accessing or using our platform, you agree to these Terms.

1. Definitions

  • Sylvest Platform: The website and associated services operated by Sylvest that facilitate connections between Sourcers and Investors.
  • Sourcers: Individuals or entities who source property deals and seek to introduce them to Investors.
  • Investors: Individuals or entities seeking property investment opportunities introduced via Sylvest.
  • Introduction Fee: The fee payable to Sylvest for connecting the Investor to the Sourcer.
  • Reserved Deal: A property transaction where an Investor has acquired a property introduced via Sylvest, and the relevant Introduction Fee has been paid.

2. Registration and User Responsibilities

2.1 Eligibility:

You must be at least 18 years old and legally capable of entering into binding agreements.

2.2 Account Registration:

To access certain features, you may need to register and create an account. You agree to provide accurate, current, and complete information and to update it as necessary.

2.3 Account Security:

You are responsible for maintaining the confidentiality of your login details and for all activities under your account.

2.4 Prohibited Conduct:

You agree not to:

  • Use the platform for any unlawful purpose.
  • Misrepresent your identity or affiliation.
  • Engage in fraudulent or deceptive activities.
  • Circumvent or manipulate the platform’s processes.

3. Listing and Introducing Deals

3.1 Deal Listings:

Sourcers may submit property deals (“Listings”), however, listings must be regularly updated, accurate, complete, and not misleading, this also applies to investors who submit listings (“Deals Wanted”).

3.2 Approval:

Sylvest reserves the right to review, approve, or reject Listings at its discretion. All property deals submitted to Sylvest will undergo a review process prior to being published. Sylvest reserves the right to:

  • Correct grammar, spelling, or formatting for clarity and professionalism.
  • Remove or replace any direct contact details (including phone numbers, email addresses, or links) to ensure all introductions are made via the Sylvest platform.
  • Make minor adjustments to improve investor engagement and ensure the listing meets our presentation standards.

3.3 No Guarantee of successful Transactions:

Inclusion on Sylvest does not guarantee that a deal will be completed or that an Investor will express interest. The introduction fee is based on the relationship intended to be created between the property investor and deal sourcer, but no responsibility is accepted by the Sylvest for the outcome of the business negotiations or the transactions between the parties

3.4 Exclusive Rights:

Sourcers retain ownership of their Listings, but by submitting them, they grant Sylvest permission to facilitate introductions.

4. Fees and Payments

4.1 Introduction Fee Structure:

The introduction fee payable to Sylvest is set at 20% of the deal sourcers finder’s fee for any property investment deal unless otherwise stated. The finder’s fee is paid directly to the deal sourcer minus our introduction fee, under the deal sourcers own terms and conditions.

4.2 Fee Payment:

Payment is due immediately, once your interest in the deal has been submitted.

4.3 Payment Methods:

Fees shall be paid via the payment method specified on the platform or as agreed upon.

4.4 Non-Refundable Introduction Fee

Once the introduction fee is paid, it is non-refundable.

5. Confidentiality and Data Use

5.1 Confidential Information:

All deal details and communications are considered confidential. Users agree not to disclose or misuse such information.

5.2 Data Privacy:

We collect, process, and store personal data in accordance with our Privacy Policy, which is incorporated herein by reference.

6. Intellectual Property

6.1 Platform Content:

All content, logos, and branding on Sylvest are owned by us or licensors and are protected by intellectual property laws.

6.2 User Content:

Users retain ownership of their Listings and content but grant Sylvest a license to use, display, and promote such content on the platform.

7. Disclaimers and Limitation of Liability

7.1 No Guarantee of Deal Outcomes:

Sylvest does not guarantee deal success, profitability, or returns.

7.2 No Advice:

Our platform is for connecting parties; it does not provide investment, legal, or financial advice.

7.3 Liability:

To the maximum extent permitted by law, Sylvest shall not be liable for any damages arising from use of or reliance on the platform or deals introduced.

8. Termination

8.1 Termination by User:

Users may terminate their account at any time via their account settings.

8.2 Termination by Sylvest:

We may suspend or terminate accounts for violations of these Terms or for other legitimate reasons.

9. Indemnity

You agree to indemnify and hold harmless Sylvest, its affiliates, and their respective officers, directors, and employees from any claims, damages, liabilities, or expenses arising from your breach of these Terms or misuse of the platform.

10. Miscellaneous

10.1 Changes to Terms:

We may update these Terms periodically. Continued use constitutes acceptance of the updated Terms.

10.2 Governing Law:

These Terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.

10.3 Dispute Resolution:

Any disputes arising from the interpretation or enforcement of these terms and conditions shall be resolved through amicable negotiation. If such negotiation fails, the dispute may be submitted to binding arbitration.
